1. Eligibility & Accounts

You must be at least 18 years old and legally capable of forming a binding contract to use the Services. You are responsible for safeguarding your account credentials and for all activities under your account. Provide accurate information and keep it current.

Do not misuse the Services. Prohibited actions include (without limitation):

• Breaking the law or infringing others’ rights, privacy, or intellectual property.
• Uploading malicious code, scraping, rate-limiting evasion, or unauthorized access.
• Misrepresenting identity, impersonation, or misleading claims about results.
• Training competitive models on our outputs where prohibited by plan or contract.

3. Subscriptions, Fees & Taxes

Paid features may be offered on a subscription or usage basis. Prices, billing cycles, and inclusions are shown at checkout or your order form. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for paying.

4. Intellectual Property

The Services, including software, designs, and content, are owned by Wise Brain or its licensors and are protected by law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

5. User Content & Feedback

You retain ownership of content you submit (“User Content”). You grant Wise Brain a worldwide, royalty-free license to host, process, and display User Content solely to provide and improve the Services. If you send feedback, you grant us the right to use it without restriction or compensation.

6. Confidentiality & Data

Each party may access the other’s non-public information (“Confidential Information”) and will protect it using reasonable safeguards. We process personal data according to our Privacy Policy (link on your site). You are responsible for notices and consents required for your end users.

7. AI/Automation Disclaimers

Outputs may be probabilistic, contain errors, or reflect bias. You are responsible for appropriate human review, accuracy checks, and compliance with your legal or regulatory obligations. Do not rely on outputs as professional advice.

8. Third-Party Services

The Services may interoperate with third-party products or content. We are not responsible for third-party terms, practices, or availability.

9. Warranties & Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Wise Brain will not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, revenue, data, or business. Our aggregate liability arising from or relating to the Services will not exceed the amounts you paid to us in the 12 months before the claim arose.

11. Indemnification

You will defend, indemnify, and hold Wise Brain and its personnel harmless from any claim, loss, or expense arising out of your User Content, your use of the Services in violation of these Terms, or your breach of law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access for any breach of these Terms or if required by law. Sections intended to survive (including IP, confidentiality, disclaimers, limitations, and indemnities) will survive termination.

13. Governing Law & Disputes

These Terms are governed by the laws of Dhaka, Bangladesh, without regard to conflicts of laws. The courts located there will have exclusive jurisdiction. You and Wise Brainwaive class actions to the fullest extent permitted by law.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Continued use of the Services after changes becomes effective constitutes acceptance.
